Terms of Service

1. Acceptance of Terms

By accessing or using Nodian Directory ("Nodian," "the Service"), operated by Medusa Japan ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Nodian is an AI-powered discovery platform for the ComfyUI ecosystem. We aggregate publicly available information from third-party sources including GitHub, HuggingFace, CivitAI, Reddit, and YouTube, and enrich it with AI-generated metadata including summaries, quality scores, VRAM estimates, and dependency analysis. The Service provides personalized recommendations, hardware compatibility matching, and resource organization tools.

3. User Accounts

Account creation requires authentication via Discord or Google OAuth. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must promptly notify us of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions & Payments

Nodian offers paid subscription plans. Payment processing is handled by Polar.sh, which acts as the Merchant of Record for all transactions. By subscribing, you also agree to Polar.sh's Terms of Use and the terms of the underlying payment processor, Stripe.

4.1 Billing

Subscriptions are billed on a recurring basis (monthly or annually) at the rate displayed at checkout. Prices are subject to change with 30 days' notice. Tax is calculated and collected by Polar.sh as required by applicable law.

4.2 All Sales Are Final

All subscription payments are final and non-refundable. Paid subscription periods cannot be refunded pro-rata once a billing period has begun. However, Polar.sh reserves the right to issue refunds within 60 days of purchase at their sole discretion to prevent chargebacks. Any refund decisions made by Polar.sh are final and not subject to appeal.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

5. Intellectual Property

The resources listed in the directory (workflows, nodes, models, LoRAs, tutorials) are owned by their respective creators and governed by their respective licenses. Nodian does not claim ownership of any third-party content. Our original content, AI enrichment data, design, branding, and codebase are our intellectual property and are protected by copyright and other laws.

6. AI-Generated Content

The Service uses AI to generate summaries, quality scores, complexity ratings, VRAM estimates, dependency analysis, and other metadata. This information is generated automatically and may contain inaccuracies or errors. AI-generated content is provided for informational purposes only and should not be relied upon as the sole basis for any decision.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Scrape, crawl, or bulk-download data from the Service without prior written permission
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the Service's operation, servers, or networks
• Impersonate other users, creators, or Nodian staff
• Use automated tools (bots, scripts) to access the Service in a manner that exceeds reasonable usage
• Circumvent any access restrictions, rate limits, or security measures
• Resell, sublicense, or redistribute access to the Service

8. Third-Party Content & Links

The Service contains links to third-party platforms, resources, and content. We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of third-party resources is at your own risk and subject to their respective terms and licenses.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT OR DATA WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NODIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nodian and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer, Limitation of Liability, and Indemnification) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Tokyo, Japan.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
